ElitMe Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “user”) and Procelite Ltd, a company incorporated in the United Kingdom (“ElitMe”, “we”, “us”, “our”), governing your access to and use of https://elitme.com and any related websites, applications, features, content, and services (collectively, the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility and Invite‑First Community

ElitMe operates as an invite‑first, curated community intended for premium lifestyle discovery and member‑to‑member connections. Access may require an invitation, referral, or approval at our discretion.

You must be at least 18 years old and legally capable of entering into a binding contract under the laws of your country of residence.

2. Account Registration and Security

You are responsible for safeguarding your account credentials and all activities that occur under your account. You agree to provide accurate, current, and complete information and to keep it updated.

We may suspend, restrict, or terminate accounts that violate these Terms, applicable law, or our community standards.

3. Acceptable Use and Community Conduct

You agree to use the Services lawfully, respectfully, and in accordance with these Terms. You must not:

• Engage in illegal, fraudulent, deceptive, or misleading conduct.

• Harass, threaten, defame, impersonate, or abuse others.

• Scrape, mine, harvest, or automate access to the Services without permission.

• Circumvent security, access controls, or invitation mechanisms.

• Use the Services for unsolicited advertising, solicitation, or competing commercial activity.

• Sell, transfer, sublicense, or share your account or access rights.

4. User Content and Contributions

You may submit content including text, images, reviews, and other materials (“Contributions”). You retain ownership of your Contributions.

By submitting Contributions, you grant ElitMe a non‑exclusive, worldwide, royalty‑free license to host, store, display, reproduce, distribute, and otherwise use your Contributions solely to operate, promote, moderate, and improve the Services.

We may remove or restrict Contributions that violate these Terms, applicable law, or community standards.

5. Intellectual Property

All software, databases, design elements, trademarks, logos, and non‑user content forming part of the Services are owned by or licensed to ElitMe and are protected by applicable intellectual property laws.

6. Third‑Party Services and Links

The Services may include links to or integrations with third‑party services. ElitMe does not control and is not responsible for third‑party content, policies, or practices.

7. Privacy and Data Protection

Our collection and use of personal data are governed by our Privacy Policy. We process personal data in accordance with UK GDPR, EU GDPR, applicable US state privacy laws, and UAE data protection laws where applicable.

8. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, applicable law, or pose a risk to the community or the Services.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELITME SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED £100 GBP OR THE EQUIVALENT IN LOCAL CURRENCY, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

11. Indemnification

You agree to indemnify and hold harmless ElitMe and its affiliates from claims arising from your use of the Services, your Contributions, or your breach of these Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. If you are a consumer resident in the EU, United States, or UAE, mandatory consumer protection laws of your country of residence will apply.

Nothing in these Terms deprives you of rights you may have under applicable local law.

13. Dispute Resolution

Before initiating formal proceedings, parties agree to attempt good‑faith informal resolution. Where arbitration or courts are required, jurisdiction will be determined in accordance with applicable law and consumer protection requirements.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
